User Agreement

1. General Provisions

This User Agreement (“Agreement”) is a public offer by Nergy Technologies FZ‑LLC (“Nergy”, “we”, “us” or “our”), a Free Zone Limited Liability Company registered in Dubai, United Arab Emirates under licence number 107267, and is addressed to individuals and legal entities (each a “User”). By using the website at nergy.cc or any software, mobile applications, cloud services or other digital services provided by Nergy (collectively, the “Services”), the User unconditionally accepts the terms of this Agreement.

This Agreement regulates relations related to (a) granting access to the Services, (b) using the functionality of the Services, and (c) processing data within the Services. Nergy may unilaterally change the terms of this Agreement. The updated version will be posted on our official website. Continued use of the Services after changes are made constitutes acceptance of the updated terms.

2. Rights and Obligations of Nergy

Nergy undertakes to:

• Provide the Services in accordance with the stated functionality and technical characteristics.
• Take reasonable measures to protect Users’ data and ensure data security.
• Inform Users about planned technical maintenance or updates.

Nergy may:

• Modify or expand the functionality of the Services.
• Restrict access to the Services in case of violation of this Agreement by the User.
• Suspend operation of the Services for maintenance or in cases of technical necessity.

3. Rights and Obligations of the User

The User has the right to:

• Use the Services within the scope of the functionality provided.
• Contact customer support for questions regarding the Services.

The User undertakes to:

• Comply with applicable UAE law and any other laws that apply to the User.
• Not use the Services to distribute malware, spam, phishing or other malicious content.
• Not use the Services for unlawful or unfair purposes.
• Not attempt to circumvent technical restrictions of the Services.
• Not perform actions that could disrupt the operation of the Services.

4. Confidentiality and Data Processing

Processing of Users’ data is carried out in accordance with Nergy’s Privacy Policies, which are made available on our website and within the Services. Users are responsible for reviewing and agreeing to these Privacy Policies before using the Services.

We process personal data in accordance with the PDPL and other applicable laws. For more details on how we collect, use and protect personal data, please refer to our Privacy Policy.

5. Intellectual Property

All elements of the Services (including code, design, logos, texts and other materials) are protected intellectual property of Nergy or its partners. Users may not reproduce, copy, distribute, modify, publicly display or otherwise use these elements without the prior written consent of the rights holder. Non‑commercial citation is permitted provided that an active hyperlink to the source is included.

6. Limitation of Liability

Nergy does not guarantee uninterrupted operation of the Services or that the Services will meet the specific needs of the User. Nergy is not liable for direct or indirect damages (including loss of profits) resulting from the use or inability to use the Services, nor for actions of third parties.

7. Final Provisions

This Agreement remains in effect until terminated by the User by ceasing use of the Services or by Nergy in case of violation of this Agreement by the User.

Any disputes arising between Nergy and the User shall be resolved through negotiations. If the parties are unable to reach an agreement, the dispute shall be submitted to the competent courts of the Emirate of Dubai, United Arab Emirates. This Agreement is governed by and shall be construed in accordance with the laws of the United Arab Emirates.
